Terms and conditions
1. Scope
(1) These terms apply to all orders placed through the online shop BioXgen Europe (bioxgen.eu) between BIOXGEN Sp. z o.o., ul. Stanisława Taczaka 24 lok. 103, 61-819 Poznań, Poland (“we”) and our customers.
(2) A consumer is any natural person who enters into a transaction for purposes that are predominantly outside their trade, business or profession. A business customer is any natural or legal person or partnership acting in the course of their trade, business or profession, including universities and research institutions.
(3) A customer’s own terms apply only if we expressly agree to them in writing.
2. Research use only
(1) All products are research chemicals sold exclusively for in-vitro research and laboratory purposes. They are not medicines, food, food supplements or cosmetics and must not be used in humans or animals.
(2) Only persons aged 18 or over may order. By ordering, the customer confirms that they are buying the products solely for the purposes in paragraph 1 and are competent to handle them.
(3) We do not advise on dosage or use in humans. Where there are indications that products are intended for use contrary to paragraph 1, we may decline an order or withdraw from the contract; any payment made is then refunded.
3. Formation of the contract
(1) Products shown in the shop are not a binding offer but an invitation to order.
(2) By clicking “Order with obligation to pay” the customer makes a binding offer to buy the goods in the basket. Until then, all details can be reviewed and corrected.
(3) The contract is formed when we confirm the order by email (order confirmation with payment details) or ship the goods, whichever happens first.
(4) The contract languages are German and English. We store the contract text; the customer receives the order details by email and can view them in their account. These terms can be viewed and saved on this page at any time.
4. Prices and shipping costs
(1) The prices shown in the shop at the time of the order apply. Where prices are shown gross, they include VAT. Business customers with a valid VAT number in another EU member state are invoiced under the reverse-charge procedure without VAT.
(2) Shipping costs are added as set out on the Shipping page and are shown in the basket before the order is placed.
5. Payment
(1) Payment is made in advance by bank transfer (SEPA). The bank details and payment reference are given in the order confirmation. We reserve the goods for 5 days from the order; if payment has not arrived by then, the order is cancelled and the goods released.
(2) Approved business customers may be offered payment on invoice. Invoices are payable without deduction within the agreed period. Statutory default interest applies to late payment.
6. Delivery
(1) We deliver to the countries listed on the Shipping page. Goods are shipped once payment has been received; the transit times stated there are the carrier’s estimates.
(2) Partial deliveries are permitted where reasonable for the customer, at no additional shipping cost.
(3) If a product is unavailable after the contract is formed, we inform the customer without delay and refund any payment already made.
(4) For consumers, risk passes on delivery to them; for business customers, on handover to the carrier.
7. Retention of title
Goods remain our property until paid for in full.
8. Defects and batch documentation
(1) The statutory warranty rights apply.
(2) The lot number of each delivery appears on the packing slip and invoice. A product’s quality is determined by its product description and the specification of its batch; the batch certificate of analysis is sent on request. Please quote the lot number with any complaint.
(3) Business customers must inspect goods promptly on receipt and report visible defects in writing within seven days of receipt, and hidden defects within seven days of discovery. For business customers the warranty period is one year from delivery; this does not apply to damages claims under section 9.
(4) We cannot verify the purity of products that were not stored as stated on their product page (for peptides, dry at −20 °C and protected from sunlight, and at 2–8 °C after reconstitution), and give no warranty for them.
9. Liability
(1) We are liable without limitation for intent and gross negligence, for injury to life, body or health, under product liability law, and to the extent of any guarantee given.
(2) For slightly negligent breach of an essential contractual obligation — one whose fulfilment makes proper performance of the contract possible and on which the customer may regularly rely — our liability is limited to the foreseeable damage typical for this kind of contract. Otherwise, liability for slight negligence is excluded.
(3) We are not liable for damage arising from use contrary to section 2, except as provided in paragraph 1.
10. Onward supply
The customer may pass products on only to persons or institutions that will also use them solely for research purposes under section 2, and must inform them of this restriction. Passing products on for use in humans or animals is prohibited.
11. Right of withdrawal
Consumers have a right of withdrawal as set out in the withdrawal instructions. Business customers have no right of withdrawal.
12. Governing law and jurisdiction
(1) The law of the Republic of Poland applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice of law applies only insofar as it does not deprive them of the protection of mandatory provisions of the law of the country in which they habitually reside.
(2) Where the customer is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction for all disputes is our registered office in Poznań.
13. Final provisions
Should any provision of these terms be invalid, the remaining provisions remain in effect.
